Case No. 2017-0681-TMR (Del. Ch.)
This action is brought by shareholders against the board of directors of UnitedHealth Group for their breach of fiduciary duties. Dating back to at least 2005, UnitedHealth has been intentionally (and with knowledge of the Company’s CEO) bilking Medicare out of hundreds of millions of taxpayer dollars by submitting false claims, inflated claims, and unsubstantiated claims. This was disclosed last year when a former employee “blew the whistle” on the Company’s misconduct by filing a qui tam action. The U.S. Attorney’s office has since joined that lawsuit against the Company, causing investor losses and subjecting the Company to potentially billions of dollars of fines, penalties, and lost business.
